Vendor Agreement (Terms for Cooks)

- INTRODUCTION
This Vendor Agreement (the “Agreement”) is a legal agreement between Tian Tasty Homemade Inc., operating as “Iranyo”, and its representatives, subsidiaries and affiliates (collectively, “Iranyo”, “we”, “us” or “our”) and you, an individual or entity using the Iranyo platform as a Cook (the “Cook”, “you” or “your”). By signing up as a Cook and using the Iranyo platform, you expressly agree to comply with and be bound by this Agreement.
- COOK ELIGIBILITY AND REGISTRATION
2.1 Eligibility
To register as a Cook on the Iranyo platform, you must:
(a) be of legal age in your jurisdiction;
(b) have the unrestricted right to work in Canada; and
(c) meet all applicable health, safety, and licensing requirements.
2.2 Registration
You agree to provide accurate, current, and complete information during the registration process and to maintain and update such information to keep it accurate, current, and complete at all times.
2.3 Account Verification
Iranyo reserves the right to verify any documents provided (including permits, identification, and proof of residence) prior to activation of a Cook account.
- COOK RESPONSIBILITIES
3.1 Compliance with Laws
Cooks must comply with all applicable federal, provincial, and municipal laws, regulations, and by-laws related to the preparation, sale, and distribution of food, including Ontario’s Health Protection and Promotion Act and Ontario Regulation 493/17 – Food Premises.
3.2 Food Safety
Cooks are solely responsible for ensuring that all food prepared and sold through the Platform is safe for human consumption and complies with all applicable food safety standards.
3.3 Quality and Accuracy
Cooks must accurately describe their meals, ingredients, and allergens. Any false, misleading, or inaccurate descriptions are strictly prohibited.
3.4 Licenses and Permits
Cooks must obtain and maintain all necessary permits, licenses, and certifications required to legally operate their food preparation and sales activities.
3.5 Taxes
Cooks are solely responsible for reporting and paying any applicable taxes (HST/GST/PST and income tax) on income earned through the Platform. Iranyo does not withhold or remit taxes on behalf of Cooks.
- PAYMENTS
4.1 Commission
Iranyo charges a 15% commission on each completed sale.
4.2 Payment Processing
Payments are processed through Stripe, our third-party payment processor. Stripe collects payment from Customers, deducts Iranyo’s 15% commission, and transfers the remaining balance to the Cook. All Stripe transaction fees are borne by the Cook.
4.3 Delivery Service Fee
For orders fulfilled with delivery (whether by Cook’s own courier or by a third-party delivery provider arranged through the Platform), Iranyo charges a Delivery Service Fee to the Customer. This fee is variable, with a minimum of $1.00 and a maximum of $4.00 per order.

4.4 Payout Schedule
Cooks receive payouts via direct deposit every Monday for all completed orders from the prior week.
- REFUNDS, CANCELLATIONS, AND CHARGEBACKS
5.1 Refund Policy
Refunds and cancellations are handled in accordance with the Iranyo Refund & Cancellation Policy, which forms part of this Agreement.
5.2 Chargebacks
Cooks are responsible for any chargeback fees resulting from their failure to fulfill an order or comply with the Refund & Cancellation Policy.
5A. INSURANCE & LIABILITY
Home Cooks
Iranyo does not provide any liability insurance to home cooks. Each home cook is solely and permanently responsible. While Iranyo strongly recommends that home cooks obtain and maintain valid Commercial General Liability (CGL) or product liability insurance, such coverage is not mandatory.
Commercial Kitchens
Cooks operating from commercial or industrial kitchens are required to obtain and maintain, at their own cost and expense, valid and current Commercial General Liability (CGL) insurance and product liability insurance, with a minimum coverage of $1,000,000 CAD. Proof of insurance must be provided to Iranyo upon request. Failure to maintain required insurance shall result in immediate suspension or termination of the Cook’s account.
General Acknowledgment
Cooks who do not maintain insurance (in cases where it is not mandatory) expressly and irrevocably acknowledge and agree that they bear full and permanent responsibility for all risks associated with their operations, including but not limited to any claims of foodborne illness, injury, or damages.
- DELIVERY AND TRANSFER OF RISK
6.1 Delivery Providers
Cooks may fulfill orders by Customer pickup, by Cook’s own delivery, or by using a third-party courier (including but not limited to Iranyo-partnered couriers).
6.2 Risk Transfer
Risk of loss or damage to an order transfers to the Customer once:
(a) the order is picked up directly by the Customer; or
(b) the order is handed over to a third-party courier for delivery.
Iranyo is not liable for delivery delays, damages, or non-delivery caused by third-party couriers.
6.3 Courier Compliance
Where third-party couriers are used, Cooks must ensure food is packaged safely and securely in compliance with food safety and transport standards.
- SMS NOTIFICATIONS & COMMUNICATIONS
7.1 Consent
By using the Platform, Cooks acknowledge that Customers must provide express consent (opt-in) before receiving SMS notifications regarding orders, delivery status, or promotions. Customers may opt-out at any time by replying “STOP.”
7.2 Compliance
All SMS notifications are sent in compliance with Canada’s Anti-Spam Legislation (CASL) and Twilio requirements. Iranyo is not responsible for failure of message delivery due to carrier restrictions or technical issues outside its control.
7.3 Cook Communications
Cooks agree not to use Customer personal information (phone number, email) for any purpose outside of order fulfillment. Any misuse may result in immediate suspension or termination.
- ACCOUNT SUSPENSION OR TERMINATION
Iranyo reserves the right to suspend or terminate a Cook’s account at any time, with or without notice, for violations of this Agreement, the Refund & Cancellation Policy, or any applicable law.
- INDEPENDENT CONTRACTOR RELATIONSHIP
Cooks are independent contractors and are not employees, partners, or agents of Iranyo. Nothing in this Agreement shall be construed to create an employment, partnership, or agency relationship.
- LIMITATION OF LIABILITY
Iranyo shall not be liable for any damages, claims, or losses arising out of or related to the food prepared, sold, or consumed through the Platform. The Cook assumes full responsibility for all risks associated with their food and operations.
- INDEMNIFICATION
The Cook agrees to indemnify, defend, and hold harmless Iranyo and its affiliates, officers, directors, and employees from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
(a) the Cook’s violation of this Agreement or applicable law;
(b) the Cook’s food preparation or sales activities; and
(c) any food-related illness, injury, or damages.
- GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
- ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings regarding its subject matter.
